User Agreement

USER AGREEMENTThis User Agreement ("Agreement") is entered into by and between Synaptic LLC ("Company"), doing business as PR Shield, and the individual or entity subscribing to the PR Shield Services ("Member"). By enrolling in the PR Shield content and services subscription ("Services"), the Member agrees to be bound by the terms and conditions set forth herein.

1. Nature of Services

1.1. PR Shield provides educational resources, training, and support to help businesses manage crisis communications and related matters.1.2. The Services and content provided are for educational purposes only and should not be construed as legal, tax, or business advice. Members are encouraged to seek independent professional counsel for such matters.1.3. Member shall not use, or attempt to use, the Content or Services for any unlawful, illegal, or prohibited purposes, including but not limited to:i. Engaging in activities that violate local, state, national, or international laws or regulations. ii. Facilitating or promoting criminal activity, including fraud, money laundering, or any other illicit conduct. iii. Using the Services to distribute, share, or create content that is illegal, harmful, defamatory, or otherwise objectionable under applicable laws. iv. Misusing the Services in a manner that infringes on the intellectual property or privacy rights of others.Company may investigate and take appropriate legal or corrective action, including but not limited to suspending or terminating Member’s access to Services and/or Content if Company determines, at Company’s sole discretion, that Member has engaged in unlawful activities.

2. Intellectual Property Rights

2.1. All materials, courses, content, protocols, videos, and other intellectual property provided through PR Shield ("Content") are the exclusive property of Synaptic LLC.2.2. Company shall grant Member a non-transferable, non-exclusive license to access and use the Content during their subscription period and solely for their internal business purposes.2.3. Members shall not reproduce, distribute, share, or in any way modify the Content in any form without prior written permission from the Company.

3. Non-Disparagement

3.1. Members shall not engage in any conduct, including the publication of negative reviews, posts, or comments, that disparages or harms the reputation of PR Shield, Synaptic LLC, or its representatives.

4. Discretion to Engage Legal Counsel

4.1. The Company reserves the right to insist that the Member engage legal counsel before providing advice on any matter. The Member shall be responsible for any and all costs associated with engaging such legal counsel.4.2. The Company further reserves the right to withhold advice altogether and refer the Member to outside counsel if, in the Company’s sole discretion, such action is deemed necessary.

5. No Refunds or Guarantees

5.1. No Refunds: All payments made for PR Shield are final, non-refundable, and non-transferable. The Member acknowledges and agrees that under no circumstances, including but not limited to dissatisfaction, lack of use, or Member’s decision to discontinue use, shall any refunds, credits, or chargebacks be provided.5.2. No Guarantees or Warranties: The Company makes no guarantees, warranties, or representations regarding the effectiveness, success, or results of the training, protocols, or advice provided through PR Shield. The Services and Content are provided "as is" without any warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

6. Limitation of Liability

6.1. The Company shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the Member’s use of PR Shield.6.2. The maximum liability of the Company under this Agreement shall not exceed total fees paid by the Member for the PR Shield Services during the preceding twelve (12) months.

7. Indemnification

7.1. Member shall indemnify, defend, and hold harmless the Company, its employees, and representatives from any claims, liabilities, damages, or expenses arising from the Member’s use of PR Shield, except to the extent caused by the Company’s gross negligence or willful misconduct.

8. Breach of Contract

8.1. In the event of a breach of this Agreement, including but not limited to unauthorized use, non-payment, or violation of any terms herein, the Company reserves the right to suspend or terminate the Member’s access to the PR Shield Content and/or Services without prior notice.8.2. Upon termination, any provisions intended to survive termination shall remain in effect.8.3. No Refunds Upon Termination: In the event of termination of access to PR Shield Content and/or Services due to Member’s breach or any other reason, the Member shall not be entitled to a refund, credit, or reimbursement of any kind.

9. Privacy and Data Use

9.1. The Company collects and stores personal information necessary for the provision of PR Shield Services. The use of such data complies with all applicable data protection laws.9.2. Member data will not be sold or shared with third parties without consent, except as required by law or to fulfill the Company’s Services.

10. Governing Law and Dispute Resolution

10.1. This Agreement shall be governed by the laws of the State of Michigan, without regard to its conflict of laws principles.10.2. Any disputes shall be settled through arbitration under the American Arbitration Association (AAA). Arbitration costs shall be shared equally by both parties, regardless of outcome.

11. Miscellaneous

11.1. This Agreement constitutes the entire understanding between the parties concerning PR Shield and supersedes all prior agreements.11.2. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.11.3. Company reserves the right to update this Agreement at any time. Continued use after notification constitutes acceptance of revised terms.

12. Force Majeure

12.1. The Company shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control.

13. Subscription and Renewal Terms

13.1. Subscriptions begin on the initial payment date and renew monthly unless canceled.13.2. By subscribing, Member agrees that Company may charge recurring fees without further authorization until cancellation.13.3. Cancellation and No Prorated Refunds: Member may cancel with 30 days’ written notice at [email protected]. No refunds, including partial or prorated refunds, will be issued for any remaining subscription period.

14. Third-Party Tools or Resources

14.1. The Company may integrate or recommend third-party tools. Members acknowledge that the Company is not responsible for any issues arising from their use.By subscribing, the Member acknowledges and agrees to these terms and conditions.
